    1. What these terms cover. These are the terms and conditions on which we supply products and services to you.
    2. Why you should read them. Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide products to you, how you and we may change or end the contract, what to do if there is a problem and other important information.
  2. Information About Us and How to Contact Us
    1. Who we are. We are KIDPIX LIMITED a company registered in England and Wales (trading as “KidPix”). Our company registration number is 11056881 and our registered office is at 142 Cromwell Road, London, SW7 4EF, United Kingdom. Our registered VAT number is 290687760.
    2. How to contact us. You can contact us by telephoning our customer service team at +44 7786 050876 or by writing to us at contact@kidpix.uk.
    3. Our Website. We offer several types of products and services via our website www.kidpix.uk
    4. How we may contact you. If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order.
    5. “Writing” includes emails. When we use the words “writing” or “written” in these terms, this includes emails.
  3. WHAT WE DO

The service provides a delivery of a selection of children or baby clothes and accessories, based on the information provided by you.

It is expressly agreed that we have the right to suspend or terminate your access or use of such service, in which case you will not be debited for the amount for your purchase.

You will be prompted to complete a Style Quiz at the time the order is placed. You should ensure the accuracy of the information provided to us. We cannot be held responsible for consequences if you have entered data incorrectly.

We will use all the provided data from the Style Quiz to make the selection of clothes that you will receive in your “Pix box” and/or “Gift Card” package. We will make every effort to closely respect your tastes and preferences. However, you cannot withdraw from your contract, on the ground that the clothes do not strictly match the data input in the questionnaire, since the data is not specific to the clothes and only of indicative use to stylists when making their selection for you.

You must ensure you keep your style and size preferences up-to-date. These can be updated in the My Account section of the Website. 

  1. SERVICE OPTIONS

(A) “THE PIX BOX”

You sign up for a one-time single “Pix box” or a quarterly subscription. You may choose to pay for your subscription every quarter following KidPix Premium plan or you may choose you pre-pay for the annual subscription with KidPix Elite plan. 

A subscription is a service where you receive a Pix box roughly every 3 months, exact delivery dates to be specified by KidPix. You must keep your details up to date before each shipment. These include but are not limited to, delivery address, payment card details, style and size preferences. Such details can be updated inside My Account section of the Website.

You will be charged £20 per “Pix box” at the time of purchase and in case of a subscription service (KidPix Premium) when each new quarterly box is being assembled. The £20 fee can be used as credit towards the purchase of the items inside the box. The £20 fee is non-refundable and non-transferable. 

You acknowledge that all products in the “Pix box” belong to us until the final payment is confirmed for their purchases.

After receipt of the products, you pay for the products you want to retain and send back the rest free of charge, with a pre-paid label and envelope provided in the parcel. You pay for any alternative return method.

The payment for the products inside the box must be made by the end of the 3rd day after delivery. If we do not hear from you by then, your card will be debited for the value of the entire Pix box. To select which individual items you wish to purchase complete the Check Out on our website. You must do so by the 3rd day after delivery. The items you wish to return to us must be posted back to us by the 3rd day after delivery.  

If you choose a subscription (KidPix Premium), you acknowledge that you will be debited for the service every three months.  KidPix Premium service guarantees you one free gift per calendar year, type and value of the gift is to be determined by KidPix. 

If you choose to pre-pay for your subscription (KidPix Elite), you will be charged styling fee for four quarters of the year straight away (£20 x 4 = £80). The £20 fee/quarter can be used as credit towards the purchase of the items inside the box. The £20 fee is non-refundable and non-transferable. KidPix Elite service guarantees you a free gift in every Pix box, type and value of the gift is to be determined by KidPix.

  1. (B) “THE GIFT CARD”

The purchase to a gift voucher entitles you to spend the total amount of the voucher on the Website. The voucher cannot be refunded in full or in part. The full payment of the gift voucher is made upon purchase.

The buyer of a gift voucher declares to have complete knowledge and understanding and to accept these Terms & Conditions.

  1. UNSUBSCRIBING

You can unsubscribe from this membership at any time by logging into My Account section of the Website. If you choose to unsubscribe from the subscription service after the Pix box has been prepared you will be charged a £20 styling fee and no shipments will be made. 

The termination may result from a decision of ours according to Clause 19.

  1. DE-ACTIVATION OF YOUR ACCOUNT

In case of breach of the obligations of the General Terms and Conditions, payment default, incorrect or misleading information or any act which may be detrimental to us, we reserve the right to suspend access to the service or depending upon the severity of the breach, to cancel the subscription and your account without compensation.

We reserve the right to refuse a subscription if you have already been excluded or for any other reason in our entire discretion.

  1. PRICES AND PAYMENT FOR SERVICES AND PRODUCT SOLD ONLINE

You may choose to make a charitable donation of £5 per “Pix box” or “Gift Card” to KIDS, a registered charity (No 275936) for disabled children in the UK. The donation can be added to your check out basket.  Every donation made by you will be matched by us, thus raising £10 per “Pix box” sold. We will transfer your donation to KIDS according to the payment schedule that has been pre-agreed between us and KIDS.

  1. Our Contract With You

9.1 How we will accept your order. Our acceptance of your order will take place when £20 has been debited from your account, at which point a contract will come into existence between you and us.

9.2 Your order number. We will assign an order number to your order and tell you what it is when we accept your order. It will help us if you can tell us the order number whenever you contact us about your order.

9.3 We only sell to the UK. Our website is solely for the promotion of our products in the UK. Unfortunately, we do not accept orders or deliver to addresses outside the UK.

9.4 You certify that you are no less than 18 years old.

  1. Our Products
    1. Products may vary slightly from their pictures. The images of the products on our website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device’s display of the colours accurately reflects the colour of the products. Your product may vary slightly from those images. 
    2. Product packaging may vary. The packaging of the product may vary from that shown in images on our website.
    3. Making sure your measurements are accurate. If we are making the product to measurements you have given us you are responsible for ensuring that these measurements are correct. 
  1. Your Rights to Make Changes

If you wish to make a change to the product you have ordered please contact us. We will let you know if the change is possible. If it is possible we will let you know about any changes to the price of the product, the timing of supply or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change. If we cannot make the change or the consequences of making the change are unacceptable to you, you may want to end the contract (see clause 14- Your rights to end the contract).

  1. Our Rights to Make Changes
    1. Minor changes to the products. We may change the product:
      1. to reflect changes in relevant laws and regulatory requirements and
      2. to implement minor technical adjustments and improvements.
    2. More significant changes to the products and these terms. In addition, as we informed you in the description of the product on our website, we may make changes to these terms or the product, but if we do so we will notify you and you may then contact us to end the contract before the changes take effect and receive a refund for any products paid for but not received. 
  1. Providing the Products
    1. Delivery costs. The costs of delivery will be as displayed to you on our website.
    2. When we will provide the products. During the order process we will let you know when we will provide the products to you. If the products are ongoing services or subscriptions, we will also tell you during the order process when and how you can end the contract. We will supply the goods to you until the subscription expires or you end the contract as described in clause 14 or we end the contract by written notice to you as described in clause 16.
    3. We are not responsible for delays outside our control. If our supply of the products is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract.
    4. If you are not at home when the product is delivered. If no one is available at your address to take delivery and the products cannot be posted through your letterbox, we will leave you a note informing you of how to rearrange.
    5. If you do not re-arrange delivery. If you do not collect the products from us as arranged or if, after a failed delivery to you, you do not re-arrange delivery or collect them from a delivery depot we will contact you for further instructions and may charge you for storage costs and any further delivery costs. If, despite our reasonable efforts, we are unable to contact you or re-arrange delivery or collection we may end the contract and clause 16.2 will apply.
    6. When you become responsible for the goods. The product will be your responsibility from the time we deliver the product to the address you gave us.
    7. When you own goods. You will own the product once we have received payment in full for each individual item inside the box.
    8. Reasons we may suspend the supply of products to you. We may have to suspend the supply of a product to:
      1. deal with technical problems or make minor technical changes;
      2. update the product to reflect changes in relevant laws and regulatory requirements;
      3. make changes to the product as requested by you or notified by us to you (see clause 12).
    9. Your rights if we suspend the supply of products. When you have agreed a subscription service we will contact you in advance to tell you we will be suspending supply of the product, unless the problem is urgent or an emergency. You may contact us to end the contract for a product if we suspend it for longer than 14 days, or tell you we are going to suspend it, and we will refund the £20 styling fee paid for the product in respect of the period after you end the contract.  No shipment will be made.
  2. Your Rights to End the Contract
    1. You can always end your contract with us.  Your rights when you end the contract will depend on what you have bought, whether there is anything wrong with it, how we are performing and when you decide to end the contract:
      1. If what you have bought is faulty or misdescribed you may have a legal right to end the contract (or to get the product repaired or replaced or a service re-performed or to get some or all of your money back), see clause 17;
      2. If you want to end the contract because of something we have done or have told you we are going to do, see clause 14.2;
      3. If you have just changed your mind about the product, see clause 14.3. You may be able to get a refund if you are within the cooling-off period, but this may be subject to deductions and you will have to pay the costs of return of any goods;
    2. Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out below the contract will end immediately. The reasons are:
      1. we have told you about an upcoming change to the product or these terms which you do not agree to (see clause 12.2);
      2. we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;
      3. there is a risk that supply of the products may be significantly delayed because of events outside our control; or
      4. we have suspended supply of the products for technical reasons, or notify you we are going to suspend them for technical reasons.
    3. Exercising your right to change your mind (Consumer Contracts Regulations 2013). For most products bought online you have a legal right to change your mind within 14 days and receive a refund.  These rights, under the Consumer Contracts Regulations 2013, are explained in more detail in these terms.  The £20 styling fee and charitable donation are non-refundable. However, you may claim a full refund of the price of the individual items inside the box for up to 14 days after the first box has been delivered.
    4. When you don’t have the right to change your mind.  You do not have a right to change your mind in respect of:
      1. Gift Card Voucher purchase;
      2. £20 styling fee per Pix box, both for subscription (KidPix Basic) and one-off box;
      3. £80 styling fee for the year (KidPix Elite plan)
      4. personalised items such as monogramed shirts;
      5. products sealed for health protection or hygiene purposes, once these have been unsealed after you receive them; and
      6. charity donation to KIDS.
    5. How long do I have to change my mind? How long you have depends on what you have ordered and how it is delivered.  You have 14 days after the day you (or someone you nominate) receives the first box of goods.
    6. Ending the contract where we are not at fault and there is no right to change your mind. 
      1. In the case of one off box purchase the contract me be terminated after Check Out.
      2. In the case of a subscription the contract may be terminated in the manner set out in clause 18.2
  3. How to End the Contract With Us (including If You Have Changed Your Mind)
    1. Tell us you want to end the contract. To unsubscribe from your membership and to end the contract with us, please let us know by doing one of the following:
      1. Email. contact@kidpix.uk.
      2. Online. Log into the Account section of our website.

If you choose to unsubscribe from the subscription service after the PixBox has been prepared you will be charged a £20 styling fee and no shipment will be made.

    1. Returning products after ending the contract. If you end the contract for any reason after products have been dispatched to you or you have received them, you must return them to us. You must return the goods in the same condition in what you received them (with the tags still attached, unused and undamaged), and post them back to us using the pre-paid envelope inside the box. If you are exercising your right to change your mind you must send off the goods within 14 days of delivery. If we deem the product to be in unsatisfactory condition we will not offer a refund and you may not be accepted as a subscriber by us in future.
    2. When we will pay the costs of return. We will pay the costs of return using the pre-paid envelope inside the box. To make a return you are to log into My Account Section of the website and Check Out, fill out the Returns and Exchanges document inside the box, attach the pre-paid label inside the box and return the package by post.
    3. How we will refund you.  We will refund you the price you paid for the products inside the Pix box, by the method you used for payment. However, we may make deductions from the price, as described below.
    4. Deductions from refunds if you are exercising your right to change your mind. If the goods are returned to us in unsatisfactory condition you will be changed the full price for each damaged item.
    5. When your refund will be made. We will make any refunds due to you as soon as possible.  If you are exercising your right to change your mind then your refund will be made within 14 days of the items being returned to us. 
  1. Our Rights to End the Contract
    1. We may end the contract if you break it. We may end the contract for a product at any time by writing to you if:
      1. you do not make any payment to us when it is due;
      2. you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the products, for example, size and style preferences;
      3. you do not, within a reasonable time, allow us to deliver the products to you or collect them from us;
      4. your behaviour is deemed damaging to our brand; or
      5. your credit and debit card becomes ineffective for payment.
    2. You must compensate us if you break the contract. If your next season’s Pix box has already been prepared and you decide to withdraw from the contract, we will change you a £20 styling fee.
    3. We may withdraw the product. We may write to you to let you know that we are going to stop providing the product. We will let you know a reasonable period in advance of our stopping the supply of the product and will refund any sums you have paid in advance for products which will not be provided.
  2. If There Is a Problem With the Product
    1. How to tell us about problems. If you have any questions or complaints about the product, please contact us at contact@kidpix.uk.
    2. Summary of your legal rights. We are under a legal duty to supply products that are in conformity with this contract. See the box below for a summary of your key legal rights in relation to the product. Nothing in these terms will affect your legal rights.
  3. Price and Payment
    1. Where to find the price for the product. The price of the product (which includes VAT) will be the price indicated on the order pages when you placed your order. We take all reasonable care to ensure that the price of the product advised to you is correct.
    2. We will pass on changes in the rate of VAT. If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.
    3. When you must pay and how you must pay. We accept payment with all major credit cards.  All payments processed through the Stripe system on our website. You have 3 days after the day of delivery to decide which items you will be keeping. If we do not hear from you by the end of the 3rd day, your card will be debited for the value of the entire Pix box.  
    4. We can charge interest if you pay late. If you do not make any payment to us by the due date we may charge interest to you on the overdue amount at the rate of 4% a year above the base lending rate of the Bank of England from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay us interest together with any overdue amount.
    5. What to do if you think an invoice is wrong. If you think an invoice is wrong please contact us promptly to let us know. You will not have to pay any interest until the dispute is resolved. Once the dispute is resolved we will charge you interest on correctly invoiced sums from the original due date.
  4. Our Responsibility for Loss or Damage Suffered By You
    1. We are not liable for business losses. We only supply the products for domestic and private use. If you use the products for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
    2. We are not liable for the non-availability of our website.  This indicates occasional interruptions for website maintenance or repair, and loss or damage could be force majeure.
    3. We are not liable for the products we supply. You should never leave your children unattended with the products supplied by us.  These include but are not limited to clothing, accessories, shoes, toys, baby equipment. KidPix acts as an agent for the supply and marketing of the product. Any damages or issues arising from the use of the product should be taken up with the manufacturer/designer of the product. KidPix can put you in touch with the relevant party but is not responsible for any loss or damage associated with the use or misuse of the products.
    4. We do not exclude or limit in any way our liability to you where it would be unlawful to do so.
  5. How We May Use Your Personal Information

How we may use your personal information.  We will only use your personal information as set out in our Privacy Policy.

  1. Other Important Terms
    1. We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
    2. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.
    3. If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
    4. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide the products, we can still require you to make the payment at a later date.
    5. Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.
